財務策略與管理

This course will guide the students from the entry-level field of financial management to the advanced-level field of financial decision making. The course is devoted to the study and discussion on several strategic decisions in the area of corporate finance. First, we will introduce students to a framework of business life cycle. Along each stage over the cycle, various business risks will be addressed and proper financial strategies will then be introduced. Then, to equip students with the important analytical skill in conducting financial decision making, the course will bring students to the subjects of business valuation. Various valuation approaches will be addressed. Lastly, eight cases in financial decision devised by the Harvard Business School will be utilized in the class. Students are responsible for studying and expressing their views on each of the eight cases. Students need to keep up with the pace of the class by reading the course materials in advance and answering the suggested questions accordingly. The format of the course will basically be a mixture of lecture, student presentation and discussion. Each group of students will be assigned to one to two cases. It is strongly recommended that each one of you start to prepare for the assigned topic and collect relevant information and articles for gaining background knowledge.

Fundamental Financial Management Students are required to take a comprehensive exam that covers those essential concepts and analytical tools of financial management in the beginning of the semester.

a. Case Presentation There will be eight cases to be done in team. Each group is responsible for each of the eight cases for either presentation or discussion during the semester. The detail will be given in the beginning of the semester. b. Reading Assignments I will assign homework problems for each of the teams to discuss and reply. Homework problems are mostly from end-of-chapter questions. You are supposed to work on the assigned problems promptly after each session. c. Comprehensive Exam: To ensure that everyone entering the class has the fundamental knowledge needed for more advanced study, a comprehensive exam will be given in the 3rd week of the semester. Students are encouraged to pre-study or review their financial management knowledge learned in their college. If students do not have the background knowledge, they are then encouraged to take an elementary course in financial management first. If a student fails the comprehensive exam, he/she then fails the course automatically. 此門課為必修課,顯見其重要性,同學必須全程參與課程,除非特殊事情不宜缺席,否則將顯著影響其學期成績。此學期將探討八個HBS個案,每星期一個個案,由一組指定的同學負責對該個案進行導讀。導讀組負責補充相關背景,並進行重點提示,時間為六十分鐘。休息二十分鐘之後,開始九十分鐘的個案問題討論。上課方式將採哈佛大學商學院(HBS)個案教學法進行,也就是由任課教師主持討論並提問學生,所有學生都必需對所有個案提前閱讀,並針對相關問題進行準備。 依HBS個案教學法的方式,學生上課時需依照指定座次表就坐,同一組同學坐在同一區域,且課桌上放置學生之名牌。學生應積極參與課程的討論,因此除非課程進行需要,不可使用電腦。助教負責記錄課程進行的情況,包括「發言次數」及「發言內容品質」。學生發言的「次數」與「內容品質」是個案部分評分的最主要依據。為了顧及課程採分組的情況,我將HBS的方式略做修改,提問的對象分團體(組)及個人兩種。團體的問題通常需要上台進行回覆報告(因此需要事先準備excel或ppt),個人的則通常是簡單直接的觀念性問題,僅需口頭回覆即可。
