Course Description In this course, students will learn how to draft legal memorandum and contracts. In addition to the basic exercise using textbook, students will be given examples of cases and draft memorandums and contracts for the ‘hypothetical’ clients. There will be basically four assignments (projects) students will work on. The first two assignments are to write legal memorandum for specific clients. For drafting a short memorandum on statutes, students will have a client which runs its business in the U.S. and would like to know whether the newly enacted federal law would be applied to his business deals. The second project is an open-legal memorandum to a client who already has been involved in dispute and students will provide legal opinion on the possibility for winning the case if it’s litigated based on the research on relevant case laws. The latter two assignments are to learn drafting a contract. After students learn the ideas and languages of the important part of contracts, such as definition, representations and warranties, conditions precedent, damages, no compete etc., as well as how to translate deal into contracts, students will be given a draft contract and try to revise it for better contracts. Students will also be given a specific deal and required to draft a simple contract for a client as a final project. Students need to “think like a lawyer” to work on each legal writing. Course Goals By the end of the course, students should have the basic skill for drafting basic legal documents.
Language This is an English-taught course. Students need to draft memorandum and contracts, and discuss issues in English. Prior Study Prior study of contract law is favorable, but not required nor necessary. Student Background It is necessary for the students who will work as legal practitioners as well as legal staffs in companies and public offices to be equipped with the excellent skill of legal writing. This class expects students who will be such legal professionals.
1.學期作業 There will be in-class exercise most of the weeks and the class will have discussions on them (students' exercise answers will not be handed in). Four assignment of drafting legal memorandum and contracts will be given and students will submit three of them and the lecturer will review and provide comments individually. 2.考試狀況 No examination 3.評量方法 Attendance & class participation (40%) Except for the assignments submitted by each of the students, there are in-class practices and discussions. Assignment (60% ) Students will submit three kinds of drafts, a short memorandum, a contract and a middle length legal memorandum.

No specific textbooks. The lecturer will provide practice exercises in each class. Recommended references are announced in the class.
