課程概述與目標: 在知識經濟的時代,企業創造價值必須以智慧財產權為基礎。對於掌握智慧財產權之企業而言,以授權契約為中心的智財相關契約為其企業整體戰略的重要核心之一。此外,目前產業的現狀為產品的研發、生產、行銷,無一環節可以完全避免無涉及他企業之智慧財產權。因此,如何以英文協商有利之授權契約,即為產業經營的重要工作。於授權契約涉訟時,了解訴訟程序以發展有利的訴訟策略,亦為企業重要的知能。 一. 主要課程內容: 本課程進行方式以講授專利法相關契約法律重要議題、重要案件解析、重要契約條款與相關文字為主。內容涵蓋授權基礎法律概念、專利授權規範與實務、美國專利授權重要實務發展趨勢。 授課主要內容為以美國法作為準據法之專利授權契約的重要條款與相關訴訟案例。 二. 學習目標: 1. 掌握專利授權基本概念。 2. 了解專利授權重要結構與條款。 3. 熟悉美國專利授權契約相關爭訟。 三. 預期成果: 1. 了解專利授權契約之體系規範與重要契約條款。 2. 熟悉專利授權契約談判策略。 3. 認識專利授權契約相關爭訟重要案例與議題。 上課方式: 實體教室、網路同步、網路非同步
本課程適合想要熟悉智慧財產權相關契約審閱重點與撰擬文字之同學選讀。修課同學宜先對專利法及契約法有基本之暸解 。本課程同學需研讀美國專利案件與契約文件,因此應具備英文讀寫能力。
1. 作業(optional, if submitted, 40%):案例或授權契約、條款研究。 2. 期末考(60%)。 3. 上課參與(實體):作為加減分之依據,上課參與特別積極或是特別冷漠不用心者,將在5%範圍內加減分。上課缺席三次以上者,無論是否事先請假,從第四次開始,每缺席一次扣學期總成績一分。 上課參與(網路同步):修課學生可於同步教學平台上提出心得或問題,上課參與加減分標準與出缺席規定,同實體上課學生。 上課參與(網路非同步):修課學生自第二周起,每次上課前於E3平台就前次上課內容提出一個問題,以參與課程互動,並供授課老師瞭解非同步同學吸收理解狀況。
