本課程由兩個部分所組成,第一個部分關注「新創事業」,第二個部分則聚焦在為新創事業打通資金脈絡的「財務工程」。第一部分主授課程的老師是胡秋江教授,胡教授具有多次科技事業創業成功的豐富實務經驗。第二部分則是由洪志洋教授負責,洪教授具有財務管理、投資評估、融資工具與企業評價領域的理論與實務經驗。 新創事業課程概述: The course is intended to provide the students with a pragmatic approach that will guide the formulation and implementation of start up a high-tech business. Students are expected to think and behave with creativity and execution capability as successful entrepreneurs after the trainings from this course. During the first half of this 18-week semester, business plan team project is the major course of this program. It covers all text chapters and a number of cases as well. Other key projects include a franchise evaluation and a book report on an entrepreneur. In lieu of the book report on an entrepreneur, another option is to have students interview a local entrepreneur and report on their interview in class in an oral or written presentation or both. 財務工程課程概述: 新創科技事業面臨的困難不僅在於技術商品化,產品市場化等層面的問題,更常陷在發展所需資金不足,無法取信於投資者或獲得資本市場認同的困境,使得好的構想、好的技術沒有機會壯大成為新興事業。而財務工程的精義,在於發揮創新精神與工程師實事求是求解的細膩手法,來解決企業融資問題。本課程的內容從基礎的創業精神、認識財務語言:風險、報酬率、資產負債表、損益表、現金流量表,進而討論創業家可以使用基本的融資工具:普通股、優先股,以及新型融資工具可轉換證券及群眾融資等工具,熟悉投資者所進行的應盡查核事項(DD)、投資條件書(Term sheet)、營運計畫書(Business plan)、募資講稿(Pitch deck)等,為使資金的募集更具說服力。
